TERMS OF USE AND END USER LICENSE AGREEMENT

Effective Date: August 11, 2026

These Terms of Use and End User License Agreement ("Terms" or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Cheer Match Media LLC ("Cheer Match," "we," "us," or "our") governing your access to and use of the CheerMatch Allstar Gym Capture application, the CheerMatch website, and any authorized branded, co-branded, or white-label versions of the application (collectively, the "Application" or "Services").

This Agreement applies to the CheerMatch Allstar Gym Capture App, including authorized branded versions made available for organizations such as Varsity, as well as future authorized branded instances of the Application operated using the CheerMatch platform.

By downloading, installing, accessing, or using the Application, you agree to be bound by these Terms. If you do not agree, do not use the Application.

1. ABOUT THE APPLICATION

The Application enables authorized users, including cheerleading gyms, coaches, teams, event participants, and other authorized representatives, to capture, upload, submit, and manage video recordings of cheerleading performances for participation in virtual competitions and related CheerMatch services.

The Application is currently provided free of charge.

The Application does not use artificial intelligence to judge, score, or analyze submitted performances unless expressly stated otherwise in connection with a future feature.

2. BRANDED AND WHITE-LABEL VERSIONS

Cheer Match Media LLC may make the Application available under the branding of third-party organizations, event producers, governing bodies, sponsors, customers, or strategic partners.

Such versions may display the names, logos, trademarks, colors, or other branding of those organizations.

Unless expressly stated otherwise, Cheer Match Media LLC remains the provider and licensor of the underlying Application.

The appearance of third-party branding does not, by itself, make that organization responsible for the operation, maintenance, support, warranties, privacy practices, or legal obligations associated with the underlying Application.

Certain branded versions may be subject to additional terms established between Cheer Match Media LLC and the applicable organization.

3. ELIGIBILITY AND AUTHORIZED USERS

The Application is intended primarily for use by authorized representatives of cheerleading gyms, teams, competition organizations, coaches, administrators, and other individuals authorized to capture and submit performances.

Users are responsible for ensuring that information provided through the Application is accurate and that they have authority to act on behalf of any gym, team, organization, or participant they represent.

You may not provide access to your account or credentials to an unauthorized person.

4. VIDEO CAPTURE AND SUBMISSIONS

The Application permits Users to capture and upload video recordings ("Submitted Content") for virtual competition and related purposes.

By capturing, uploading, or submitting Submitted Content, you represent and warrant that:

(a) you have the legal right and authority to capture and submit the recording;

(b) you have obtained all permissions, releases, authorizations, and consents reasonably necessary for the individuals appearing in the recording;

(c) your recording and submission of the content does not violate applicable law, contractual obligations, competition rules, privacy rights, publicity rights, or intellectual property rights;

(d) you are authorized to submit the performance on behalf of the applicable gym, team, or organization; and

(e) the Submitted Content is associated with a legitimate participation in the applicable competition, event, or service.

5. MINORS AND PARTICIPANT CONSENT

Cheerleading teams may include athletes under the age of 18.

Users who capture or submit videos containing minors are responsible for ensuring that appropriate authorization has been obtained from the athlete's parent or legal guardian when required by applicable law, competition rules, gym policies, or event requirements.

By submitting a video containing a minor, the User represents and warrants that the User, gym, team, or organization responsible for the submission has obtained the permissions and consents necessary to record the minor and submit the recording through the Application for competition and related purposes.

The Application should not be used by an individual to record or submit a minor without appropriate authority or permission.

6. LICENSE TO SUBMITTED CONTENT

You retain ownership of any rights you or the applicable rights holder may have in Submitted Content.

By uploading Submitted Content, you grant Cheer Match Media LLC a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, process, display, and otherwise use the Submitted Content as reasonably necessary to:

  • operate the Application;

  • administer the applicable virtual competition;

  • deliver Submitted Content to authorized judges, administrators, or competition personnel;

  • calculate, verify, and communicate competition results;

  • provide technical support;

  • maintain competition records where appropriate; and

  • fulfill Cheer Match's contractual obligations to the applicable competition organizer or branded-platform partner.

This license does not grant Cheer Match the unrestricted right to use participant videos for unrelated advertising or promotional purposes unless separate authorization has been obtained.

7. PROHIBITED CONTENT AND CONDUCT

You may not use the Application to:

  • upload content you are not authorized to submit;

  • upload unlawful, abusive, obscene, defamatory, threatening, or otherwise inappropriate content;

  • intentionally submit fraudulent or manipulated competition footage;

  • impersonate another individual, gym, or organization;

  • attempt to interfere with competition results or platform operation;

  • gain unauthorized access to accounts, systems, videos, or data;

  • reverse engineer or attempt to extract the source code of the Application except where expressly permitted by applicable law;

  • introduce malware or malicious code;

  • use the Application for unlawful surveillance or recording; or

  • violate applicable competition rules.

Cheer Match may remove content, restrict access, suspend accounts, or terminate access when we reasonably believe these Terms have been violated.

8. APPLICATION LICENSE

Subject to your compliance with these Terms, Cheer Match Media LLC grants you a limited, personal, revocable, non-exclusive, non-transferable license to download, install, access, and use the Application solely for its intended purposes.

For Applications obtained through Apple's App Store, this license is limited to use of the Application on Apple-branded products that you own or control and as permitted by the applicable usage rules contained in the Apple Media Services Terms and Conditions, including applicable Family Sharing or volume-purchasing provisions.

No ownership interest in the Application or underlying technology is transferred to you.

9. INTELLECTUAL PROPERTY

The Application, software, platform, workflows, interfaces, designs, graphics, documentation, trademarks, service marks, and other proprietary materials are owned by or licensed to Cheer Match Media LLC and are protected by applicable intellectual property laws.

"CheerMatch," related CheerMatch branding, and associated marks are the property of Cheer Match Media LLC or its licensors.

Third-party names and trademarks displayed within branded versions of the Application remain the property of their respective owners.

Nothing in these Terms grants you a license to use CheerMatch or third-party trademarks except as necessary to use the Application as intended.

10. AVAILABILITY OF SERVICE

We endeavor to maintain reliable access to the Application but do not guarantee uninterrupted or error-free operation.

Availability may be affected by internet connectivity, device functionality, maintenance, third-party infrastructure, App Store services, hosting providers, events beyond our reasonable control, or other technical circumstances.

Users are responsible for confirming successful submission of competition videos before applicable submission deadlines.

Cheer Match is not responsible for missed competition deadlines resulting from a User's failure to complete or verify a submission, except to the extent otherwise required by applicable law or competition rules.

11. PRIVACY

Use of the Application is also subject to the CheerMatch Privacy Policy available through www.cheermatch.com and/or within the Application.

The Privacy Policy describes how Cheer Match collects, uses, stores, and protects personal information and Submitted Content.

Where a branded version of the Application involves the sharing of information with a competition organizer or platform partner, additional privacy disclosures may apply.

12. THIRD-PARTY SERVICES

The Application may rely upon or interact with third-party services, including mobile operating systems, hosting providers, internet service providers, authentication services, video-processing infrastructure, and competition partners.

Your use of such services may also be subject to applicable third-party terms and conditions.

You agree to comply with applicable third-party agreements when using the Application, including your wireless data and internet service agreements.

13. MAINTENANCE AND SUPPORT

Cheer Match Media LLC is responsible for maintenance and support of the Application to the extent provided by Cheer Match or required by applicable law.

Apple has no obligation whatsoever to provide maintenance or support services for the Application.

14. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

CHEER MATCH MEDIA LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.

Cheer Match does not warrant that the Application will always operate without interruption, delay, error, data loss, or technical failure.

Nothing in this Agreement excludes warranties or consumer rights that cannot lawfully be excluded.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHEER MATCH MEDIA LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE APPLICATION.

This includes, without limitation, lost profits, lost opportunities, loss of data, competition-related losses, or damages resulting from interrupted access to the Application.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

16. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Cheer Match Media LLC and its officers, employees, contractors, and affiliates from claims, damages, liabilities, and reasonable expenses arising from:

(a) your violation of these Terms;

(b) Submitted Content for which you lacked appropriate rights, permissions, or consent;

(c) your unauthorized recording or submission of another person;

(d) your violation of applicable law; or

(e) your infringement of another person's intellectual property, privacy, or publicity rights.

17. TERMINATION

Cheer Match may suspend or terminate your access to the Application if you materially violate these Terms, misuse the Application, interfere with competition integrity, or create a security or legal risk.

You may discontinue use of the Application at any time.

Sections that by their nature should survive termination will continue to apply following termination.

18. CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes to the Application, legal requirements, business relationships, or operational practices.

When required, we will provide notice of material changes and obtain any consent required by applicable law.

Continued use of the Application following the effective date of revised Terms constitutes acceptance where permitted by law.

19. APPLE-SPECIFIC TERMS

If you download or use the Application through the Apple App Store, the following additional provisions apply:

Acknowledgment. This Agreement is between you and Cheer Match Media LLC only and not Apple Inc. ("Apple"). Cheer Match Media LLC, not Apple, is solely responsible for the Application and its content.

Maintenance and Support. Cheer Match Media LLC is solely responsible for providing maintenance and support services for the Application as specified in these Terms or as required by applicable law. Apple has no obligation to provide maintenance or support.

Warranty. Cheer Match Media LLC is solely responsible for warranties applicable to the Application to the extent such warranties have not been effectively disclaimed. If the Application fails to conform to an applicable warranty, you may notify Apple. Because the Application is provided free of charge, there may be no purchase price to refund. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the Application.

Product Claims. Cheer Match Media LLC, not Apple, is responsible for addressing claims relating to the Application or your possession or use of it, including product-liability claims, claims concerning failure to comply with applicable legal or regulatory requirements, and claims arising under consumer-protection or similar legislation.

Intellectual Property Claims. In the event of a third-party claim that the Application or your possession and use of the Application infringes that party's intellectual property rights, Cheer Match Media LLC, not Apple, will be responsible for the investigation, defense, settlement, and discharge of such claim.

Legal Compliance. You represent and warrant that you are not located in a country subject to a United States Government embargo or designated by the United States Government as a country supporting terrorism and that you are not listed on any United States Government list of prohibited or restricted parties.

Third-Party Terms. You must comply with applicable third-party terms when using the Application.

Third-Party Beneficiary. You and Cheer Match Media LLC acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right, and will be deemed to have accepted the right, to enforce this Agreement against you as a third-party beneficiary.

20. GOVERNING LAW

These Terms will be governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.

Any dispute arising from these Terms or the Application will be subject to the jurisdiction of the appropriate state or federal courts located in Colorado, unless applicable law provides you with the right to bring a claim in another jurisdiction.

21. ENTIRE AGREEMENT

These Terms, together with the applicable Privacy Policy and any competition-specific terms presented to you, constitute the agreement governing your use of the Application.

If a conflict exists between these Terms and specific competition rules, the competition rules govern participation in that competition, while these Terms continue to govern use of the Application unless expressly stated otherwise.
